在涉外商務(wù)合同中，總有那么幾個(gè)罕見(jiàn)詞匯，在高階英英詞典里標(biāo)注為“Obsolete”，其他場(chǎng)合幾乎看不到，就是在英文合同里面會(huì)時(shí)常出現(xiàn)，這大概就是涉外合同的專有術(shù)語(yǔ)吧。記住它們，可以讓大家在翻譯英文合同的時(shí)候，無(wú)論是英譯中，還是中譯英，都會(huì)讓人感覺(jué)得心應(yīng)手些，而且翻譯出來(lái)的東西會(huì)顯得“逼格”高些。
1.Whereas: Considering that…. 鑒于，就…..而論（法律用語(yǔ)）如：鑒于甲方愿意聘請(qǐng)乙方，乙方同意受聘為甲方的常年法律顧問(wèn)。合同雙方特此達(dá)成如下協(xié)議：Whereas Party A is willing to employ Party B and Party B agrees to work as the long-term legal consultant of Party A, it is hereby mutually agreed as follows:

4. undersigned: 文件末尾簽署的，The undersigned 文件簽署者。如：茲經(jīng)簽約的買(mǎi)賣(mài)雙方同意，按下列條款達(dá)成這筆交易。The undersigned buyer and seller have agreed to conclude following transaction in accordance with the terms and conditions stipulated as follows:
5.Now Therefore: 特此，因此之意。 常與Whereas, hereby前后呼應(yīng)。如：
Whereas, Manufacturer is engaged in the manufacture and sale of the Products;
Whereas, Distributor is engaged in the importation and distribution of the related products in the Territory; and
Whereas, Distributor is desirous of becoming a distributor of the Products in the Territory.
Now Therefore, the parties hereto agree as follows:
